Please read these Terms carefully before using the Momentum Lab app. By downloading, accessing or using the App, you agree to be bound by these Terms. If you don't agree, please don't use the App.
1. Who We Are
The Momentum Lab app (the "App") is operated by The Genius Institute (Giorgio Genaus) ("we", "us", "our"), based in Sydney, NSW, Australia. The App gives members of The Momentum Lab, our private coaching community, access to session recordings, community discussion, direct messaging and live call scheduling.
2. Eligibility
You must be at least 18 years old and be a member of The Momentum Lab community to use the App. If you're using the App on behalf of a business or organisation, you confirm you have the authority to accept these Terms on its behalf.
3. Your Account
You'll need an account to use the App. Keep your login details confidential and notify us immediately if you suspect unauthorised access to your account. You're responsible for all activity under your account.
4. Community Membership
Access to the App is provided to members of The Momentum Lab community. Your access is tied to your standing as a community member, and may be suspended or ended if your membership ends or if you breach these Terms.
5. Coaching and Program Disclaimer
The Momentum Lab is a coaching and mentorship program. It is not therapy, medical treatment, or financial, legal or professional advice, and nothing in the App or the program should be treated as such. Results depend on individual effort and circumstances and are not guaranteed. You're responsible for your own decisions and actions, including any you take as a result of participating in The Momentum Lab. If you're experiencing a mental health crisis, please contact a qualified professional or emergency services rather than relying on the App or program.
6. Community Conduct
The Momentum Lab is a private space built on trust. When using the community feed, direct messaging or live calls, you agree not to:
- Share what other members disclose in the group outside the group, without their consent
- Harass, threaten or abuse other members
- Impersonate any person or misrepresent your affiliation with anyone
- Post unlawful, defamatory or infringing content
- Use the App to solicit or advertise to other members without our permission
- Attempt to access another member's account, or reverse engineer, scrape or interfere with the App
We may remove content, suspend or terminate access for members who breach these Terms, at our discretion.
7. Content You Share
You retain ownership of anything you post in the App, for example community posts, messages or exercise responses. By posting content, you grant The Genius Institute a licence to store, display and use that content within the App and Momentum Lab platform to operate the community and program. You're responsible for making sure you have the right to share anything you post, and that it doesn't infringe anyone else's rights.
Call recordings and session content created by The Genius Institute remain our intellectual property, made available to members for personal, non-commercial use during their membership. You may not record, download, reproduce or redistribute session content outside the App without our written permission.
8. Our Content and Intellectual Property
All materials in the App, including session recordings, frameworks, written content, branding and design, are owned by or licensed to The Genius Institute and protected by copyright and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to access and use this content for your personal use as a Momentum Lab member. You may not copy, resell, distribute or create derivative works from our content.
9. Third-Party Services
The App may rely on third-party services, for example hosting or scheduling tools. Your use of those services may be subject to their own terms, and we're not responsible for their availability or performance.
10. Disclaimers
The App is provided "as is" and "as available," without warranties of any kind, to the fullest extent permitted by law. We don't guarantee the App will be uninterrupted, error-free, or free of harmful components. Your use of the App is at your own risk.
11. Limitation of Liability
To the fullest extent permitted by law, The Genius Institute and Giorgio Genaus won't be liable for any indirect, incidental, special or consequential damages arising from your use of the App. Where liability can't be excluded under applicable law, our liability is limited to the minimum extent permitted by that law.
12. Indemnity
You agree to indemnify The Genius Institute and Giorgio Genaus against any claims, losses or costs, including reasonable legal fees, arising from your breach of these Terms, your misuse of the App, or your violation of another person's rights.
13. Termination
We may suspend or terminate your access to the App at any time, with or without notice, if you breach these Terms or if your Momentum Lab community membership ends. You may stop using the App at any time.
14. Changes to These Terms
We may update these Terms from time to time. We'll post the updated Terms in the App or on this page and update the effective date above. Continued use of the App after changes take effect means you accept the updated Terms.
15. Governing Law
These Terms are governed by the laws of New South Wales, Australia. Any disputes will be resolved in the courts of New South Wales.
16. Apple App Store Terms
These additional terms apply if you downloaded the App from the Apple App Store, and take precedence over any conflicting terms above in relation to your use of the App on Apple devices.
- These Terms are between you and The Genius Institute only, not Apple. Apple is not responsible for the App or its content.
- The licence granted to you to use the App is limited to a non-transferable licence to use the App on any Apple-branded product you own or control, as permitted by the App Store's Usage Rules.
- Apple has no obligation to provide any maintenance or support services for the App.
- If the App fails to conform to any applicable warranty, you may notify Apple, and, to the extent applicable, Apple will refund you accordingly. To the maximum extent permitted by law, Apple has no other warranty obligation for the App.
- Apple is not responsible for addressing any claims by you or a third party relating to the App, including product liability claims, claims that the App fails to conform to legal or regulatory requirements, and claims arising under consumer protection or similar laws.
- Apple is not responsible for the investigation, defence, settlement or discharge of any claim that the App or your possession and use of it infringes a third party's intellectual property rights.
- You represent that you're not located in a country subject to a US government embargo or designated as a "terrorist supporting" country, and that you're not listed on any US government list of prohibited or restricted parties.
- You must comply with any applicable third-party agreement, for example your wireless data service agreement, when using the App.
- Apple and its subsidiaries are third-party beneficiaries of these Terms, and Apple has the right to enforce them against you.
